1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Ara44 platform and related services (the "Service") operated by Ara44 ("we," "us," or "our").

By creating an account, connecting a social media account, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Ara44 provides tools to create and manage automated video series (including story, product, and campaign formats), generate campaign-ready marketing posters, schedule content, and—when you connect supported social accounts—publish videos on your behalf according to your settings.

Features, supported platforms, and plan limits may change over time. We may add, modify, or discontinue features with reasonable notice where practicable.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

4. Account Registration and Security

• You must provide accurate registration information and keep it up to date.
• You are responsible for safeguarding your login credentials and all activity under your account.
• Notify us promptly at the contact email below if you suspect unauthorized access.
• We may suspend or terminate accounts that violate these Terms or pose security or legal risk.

5. User Content and License

"User Content" means materials you upload or submit (including business names, logos, product images, briefs, and series settings) and content you approve for publication.

You retain ownership of your User Content. By using the Service, you grant Ara44 a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and technical processing), display, and distribute your User Content solely to operate and improve the Service—including generating videos and posters and publishing to connected social accounts as you direct.

You represent that you have all rights necessary to submit User Content and that it does not infringe third-party rights or violate applicable law.

6. Social Account Authorization

When you connect a social media account (such as TikTok), you authorize Ara44 to access and use that account's APIs according to the permissions you grant, including uploading and publishing content you create or schedule through the Service.

You remain responsible for compliance with each platform's terms, community guidelines, advertising policies, and applicable laws. Disconnecting an account in Ara44 or revoking access on the platform stops future automated posting.

We are not responsible for actions taken by third-party platforms (including content removal, account restrictions, or API changes) that affect your posts or connected accounts.

7. Acceptable Use

You agree not to:

• Use the Service for unlawful, fraudulent, harassing, defamatory, or misleading purposes.
• Upload content that infringes intellectual property, privacy, or publicity rights of others.
• Generate or publish content that violates platform rules (e.g., prohibited products, hate speech, illegal activity).
• Attempt to reverse engineer, scrape, overload, or disrupt the Service or its infrastructure.
• Share account credentials or resell access except as expressly permitted by your plan.
• Misrepresent AI-generated content as human-created where platform rules require disclosure.

8. AI-Generated Content

The Service uses artificial intelligence to generate scripts, visuals, voice-overs, and videos. Outputs may be inaccurate, incomplete, or unsuitable for your intended use. You are solely responsible for reviewing, editing, and approving content before publication.

We do not guarantee that AI-generated content will be error-free, unique, or free of third-party claims. You use generated content at your own risk.

9. Subscriptions and Payments

Certain features require a paid subscription. Prices, billing cycles, and plan limits are shown at checkout or on the billing page. Fees are generally non-refundable except where required by law or explicitly stated.

We may change pricing with notice before your next billing period. Failure to pay may result in suspension of paid features.

10. Intellectual Property

The Service, including its software, design, branding, and documentation (excluding your User Content), is owned by Ara44 or its licensors and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks except as needed to identify the Service.

11. Third-Party Services and Links

The Service integrates with third-party platforms and providers. Your use of those services is governed by their separate terms and policies. We are not responsible for third-party products or services.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION, OR THAT PUBLISHED CONTENT WILL ACHIEVE ANY PARTICULAR REACH, ENGAGEMENT, OR REVENUE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARA44 AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE OR CONNECTED SOCIAL ACCOUNTS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

14. Indemnification

You agree to indemnify and hold harmless Ara44 from claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your connected social accounts, or your violation of these Terms or third-party platform rules.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, non-payment, legal requirements, or to protect the Service or other users.

Upon termination, your right to use the Service ends. Provisions that by nature should survive (including licenses granted for content already processed, disclaimers, limitation of liability, and indemnification) will survive.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict-of-law principles. Courts in Uganda shall have exclusive jurisdiction over disputes arising from these Terms, except where mandatory consumer protection laws in your country require otherwise.

17. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the effective date. Material changes may be communicated by email or in-app notice. Continued use after changes constitutes acceptance.
